. Consenting to the terms
1.1 This NAIRALOAD (“Terms & Conditions”) apply to your use of “NAIRALOAD” or “NAIRALOAD.com”. Please read this Terms & Conditions carefully. By using NAIRALOAD, you acknowledge and agree to be bound by this Terms & Conditions. If you do not agree with this Terms & Conditions, do not use NAIRALOAD.

1.2 NAIRALOAD reserves the exclusive right to revise, change or amend any portion of this Terms & Conditions at any time, without advance notice to customers. For every time you utilize this platform you give your consent to be bound by this Terms and Conditions as may be amended from time to time.

1.3 Eligibility. To be eligible to use the NAIRALOAD Services, you must be at least 18 years old and a resident of Nigeria.

1.4 NAIRALOAD Services. Your NAIRALOAD account ("NAIRALOAD Account") include the following NAIRALOAD services:

(a) A Bitcoin wallet that allow users store bitcoin, track, transfer, and manage their bitcoins;
(b) Marketplace: The Person-to-Person (P2P) Exchange services through which users can buy and sell bitcoin in transactions with other NAIRALOAD users;
(c) An escrow wallet for both Fiat Currency (e.g Naira) and Ecurrency (e.g Bitcoin) for use in connection with other NAIRALOAD Services; and
(d) Buying and Selling of Ecurrencies e.g Perfect Money, Bitcoin and Ethereum.

The risk of loss in trading or holding Ecurrency can be substantial. You should therefore carefully consider whether trading or holding ecurrency is suitable for you in light of your financial condition.


2. Property rights
All rights, title, and interest, including all intellectual property rights, in and to, the;

(a) APIs, and all elements, components, and executables of the APIs;
(b) the Content available from the APIs;
(c) our Website; and
(d) our Brand Features are all exclusive properties of NAIRALOAD.
Subject to the express licenses granted in these Terms, NAIRALOAD does not grant you any right, title, or interest in the NAIRALOAD Materials which you may or may not have access to. You agree to take such actions, including executing any legal or official document and other documents that NAIRALOAD may request that you execute to further affirm our third party website’s intellectual property rights.

3. Registration or Placing Order
3.1. The services provided by NAIRALOAD enables you to buy and sell ecurrencies (Perfect Money, Ethereum and Bitcoin) and send or receive money with your NAIRALOAD account using the payment methods available on www.NAIRALOAD.com.

3.2. To enjoy this service you have to sign up on NAIRALOAD.com website or on the NAIRALOAD mobile application and also operate an active Perfect Money account, Ethereum wallet or Bitcoin Wallet. In the event that your NAIRALOAD account is terminated for any reason, you are no longer qualified to use the services.

3.3 Upon signing up for the NAIRALOAD Services, you are creating an NAIRALOAD account ,you may be requested to supply information such as: Name, Contact Information, etc. You are totally responsible for providing accurate information in this regard and for updating same in the event that there is a change. E.g Change of Contact Information etc. You acknowledge that by using NAIRALOAD services, some of your personal information will be available to any third party involved in the provision of the services including without limitation, payment processors, partner banks and ecurrency service providers. These information maybe authenticated via a third party verification vendor as deemed appropriate by NAIRALOAD. Please note that the information provided by you will be used to determine if you are qualified to start or continue using the services. We reserve the right to shutdown, limit, or suspend your access to NAIRALOAD Services in the event that we are unable to authenticate your information. Provision and use of such data is subject to the NAIRALOAD

PRIVACY POLICY AS DESCRIBED BELOW.

Any information (s) we collect from you is for the sole use of identifying and providing you with quality service. We will neither lend nor sell out any of your personal details nor use it for any other activity outside serving you.

However, we will comply fully with the law if we are demanded to provide any details about you which is within our reach.

Any information you provide directly to a third party merchant, website or application is not covered by this privacy notice. We encourage you to review the privacy policies of any third party to whom you choose to share your personal information directly as we are not responsible for the privacy or security practices of the third parties with whom you choose to share your personal information directly.


4. Login Information
4.1. The Confidentiality of your email address and password; all transactions that occur under your email address and password, any and all consequences of your email address and password is solely your responsibility.


4.2. a The set of email address and password unique to your NAIRALOAD Account must not be shared with, assigned or utilized by another person. You acknowledge that the sharing of your email address and password with other persons may cause irreparable harm to NAIRALOAD and you shall indemnify NAIRALOAD against any loss or damages suffered by NAIRALOAD as a result of such multiple use. In the event that there is an unauthorized use you must immediately contact NAIRALOAD. You agree that NAIRALOAD shall not be liable for any loss or damage arising from your negligence or failure to comply with this provision.

4.2. b If you are a business entity, you agree that all officers, employees, agents, representatives and others having access to the email address and password have been duly authorized by you to use the services on your behalf and to legally bind you. You are therefore responsible for all their actions whether authorized by you or not, while accessing the business, with your email address and password.


5. Your responsibilities
5.1 Your use of the services must be in good faith and in compliance with all applicable laws and regulations.

5.2 The information and material you supply in connection with the use of the services must be authentic, true and accurate, must not be false, misleading or deceptive.

5.3 You must not use the services to defraud NAIRALOAD, other members or users of the NAIRALOAD Website or engage in other unlawful activities. Please note that you are solely responsible for the payment of any taxes, duties or other governmental levies or any financial charges arising from the use of your NAIRALOAD account.

5.4 Disclaimer of Warranty
The internet is a very complex place. Sometimes, things may not go as expected. We do not give any guarantee or warranty for any service provided. However, we try our best to provide you with a better service at the shortest time possible.

Anything you do on the internet is at your own risk and we’ll not be directly or indirectly responsible for any loss or unpleasant situations that might arise.

NAIRALOAD MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND FOR THE SERVICES BEING OFFERED. THE SERVICE IS PROVIDED ON A "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, NON-INFRINGEMENT, OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. No advice or information given by NAIRALOAD or its agents or employees shall create a warranty. NAIRALOAD provides no warranty that the service will be uninterrupted or error free or that there might not be delay in transactions. Under no circumstances shall NAIRALOAD be liable for any direct, indirect, special, punitive, or consequential damages that result in any way from your use of or inability to use our services.

If you are dissatisfied with NAIRALOAD service or any of its terms, conditions, rules, policies, guidelines, or practices, your sole and exclusive remedy is to discontinue using the service. You may also want to write us with your reason for us to consider possible improvements.


6. Payment
All transactions done on this platform must be a fully paid transaction and not a partial payment transaction in order to be entitled to the benefits there in.

6.1 Limitations to paying for NAIRALOAD services;


Minimum transaction: You are restricted to perform transaction not less than $10 worth.
For any reason you need to demand for refund, this must be done in writing electronically. If the need for a refund is caused by us or we consider it neccesary, refund will be made within five (5) business days and we will remove 10% handling and 7.5% VAT and make refund within 5 business days from the day of request
Money/refunds to the customer shall not be transferable to any 3rd party, this is only redeemable by you.

7. Privacy
We collate, utilize, hold and transfer your personal data in accordance with the NAIRALOAD Privacy Policy.

By accepting this terms and conditions, you hereby agree to NAIRALOAD Privacy Policy which is subject to review and update from time to time. Please note that any data you provide to NAIRALOAD in connection with the services will be use for the sole purpose of identifying and providing you with quality service, this will be done to an extent permissible by law.


8. Limitation of service
NAIRALOAD establishes general practices and limitation. These includes, without limitation to individual or aggregate transaction limits on the Naira or dollar amount or number of transactions during any specified duration.

NAIRALOAD reserves the right to change, suspend or discontinue any aspect of the services at any time, including hours of operation or availability of the services or any Service feature, without notice and without liability. NAIRALOAD also reserves the right to impose limits on certain service features or restrict access to the Service without notice and liability. NAIRALOAD may decline to process any transaction without prior notice to you. If an online transaction does not satisfy the terms and conditions of www.NAIRALOAD.com, NAIRALOAD has the right to deny you access. Access shall also be denied if NAIRALOAD has a reason to believe that the online transaction violates any laws, rules or regulations, or may otherwise subject NAIRALOAD and Its’ affiliates to liability.


9. Indemnification
You consent to indemnify NAIRALOAD and our affiliates and the entire staff, agents and representatives and to hold them harmless, from any and all losses, damages, actions, claims, legal costs and liabilities which may arise directly or indirectly from the breach of this Terms and Conditions NAIRALOAD reserves the right, at our own cost to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with NAIRALOAD in asserting any available defense.


10. Disintegration of systems
In the event that you are unable to use the services of NAIRALOAD as a result of improper operation of the system you cannot hold NAIRALOAD responsible for the following:


A system Suspension earlier announced by NAIRALOAD in advance on the site.
A failure in data transmission due to a break down resulting from unavoidable force majeure like earthquakes, floods, electricity blackout or other incidents beyond our control.
Failure in Data Transmission due to a collapse in the telecommunications equipment and system.
Interruption of services due to hacking, authority, website update, banks, and other reasons.

11. Errors and Unauthorized Transactions
When an Unauthorized Transaction or an Error occurs in your NAIRALOAD account, NAIRALOAD will cover you for the full amount of every eligible Unauthorized Transaction or Error after deducting 10% handling and 7.5% VAT so long as you follow the procedures discussed below.

An Unauthorized Transaction occurs when a payment is sent from your NAIRALOAD account that you did not authorize and that did not benefit you. For example, if someone steals your password, uses the password to access your NAIRALOAD account, and sends a payment from your NAIRALOAD account, an Unauthorized Transaction has occurred. If you give someone access to your NAIRALOAD account (by giving them your login information) and they conduct transactions without your knowledge or permission, you are responsible for any resulting use.

11a.You should immediately notify NAIRALOAD if you believe:


there has been an Unauthorized Transaction or unauthorized access to your NAIRALOAD account;
there is an Error in your account transaction history (you can access your NAIRALOAD account transaction history by logging into your account) or in your transaction confirmation sent to you by email;
your password has been compromised;
you need more information about a transaction listed in the transaction history or transaction confirmation.
11b.To be eligible for protection for Unauthorized Transactions, you must notify us within 15 Days after any Unauthorized Transaction first appears in your transaction history. We will extend the 15 Day time period if a good and demonstrable reason, such as a hospital stay, kept you from notifying us within 15 Days.

You should regularly log into your NAIRALOAD account and review your transaction history to ensure that there has not been an Unauthorized Transaction or Error. NAIRALOAD will also send an email to the primary email address you have provided in order to notify you of each transaction from your NAIRALOAD account. You should also review these transaction confirmations to ensure that each transaction was authorized and is accurate.


12. Processing Time and Notifications:
We try our best to process all transactions same day or within 48hrs. However, for some reasons like scarcity, demand higher than supply, availability, and so many others, transactions maybe be delayed. You agree to be patient and not use any kind of threat or abusive words or restriction on any of our staff or representative. You also agree not to use any kind of restriction on any NAIRALOAD bank accounts.


13. Applicable law
This Agreement shall be governed by and interpreted and construed in accordance with the laws of The Federal Republic of Nigeria. The place of jurisdiction shall be exclusively in Lagos State, Nigeria.


14. Disputes with NAIRALOAD
14.1 If a dispute arises between you and NAIRALOAD, our goal is to learn about and address your concerns and, if we are unable to do so to your satisfaction, to provide you with a neutral and cost effective means of resolving the dispute quickly. Disputes between you and NAIRALOAD regarding NAIRALOAD Services may be reported to Customer Service online through the NAIRALOAD Help Center at any time.

14.2 For any claim where the total amount sought is more than One Million Naira (or other currencies equivalents), the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. If a party elects arbitration, that party will initiate such arbitration through the Citizens' Mediation Centre in Lagos or any other established alternative dispute resolution (“ADR”) provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction in Lagos State.

14.3 Except as otherwise agreed by the parties or as described in Section 14.2 above, you agree that any claim or dispute you may have against NAIRALOAD must be resolved by a court located in Lagos. You agree to submit to the personal jurisdiction of the courts located in Lagos for the purpose of litigating all such claims or disputes. This Agreement shall be governed in all respects by the laws of Lagos State, Nigeria as such laws are applied to agreements entered into and to be performed entirely in Lagos, Nigeria, without regard to conflict of law provisions.

14.4 All claims you bring against NAIRALOAD must be resolved in accordance with Section 14 of this Agreement. All claims filed or brought contrary to Section 14 shall be considered improperly filed and a breach of this Agreement. Should you file a claim contrary to Section 14, NAIRALOAD may recover lawyers’ fees and costs more than a million naira, provided that NAIRALOAD has notified you in writing of the improperly filed claim, and you have failed to promptly withdraw the claim.

14.5 You agree that NAIRALOAD may provide you communications about your NAIRALOAD account, the NAIRALOAD Services and this agreement electronically. NAIRALOAD reserves the right to close your NAIRALOAD account if you withdraw your consent to receive electronic Communications. Any electronic Communications will be considered to be received by you within 24 hours of the time we post it to our website or email it to you. Any notice sent to you by postal mail will be considered to be received by you 3 Business Days after we send it.

14.6 If any proceeding by or against you is commenced under any provision of any bankruptcy or insolvency law, NAIRALOAD will be entitled to recover all reasonable costs or expenses (including reasonable lawyers’ fees and expenses) incurred in connection with the enforcement of this Agreement.

14.7 If you have a dispute with one or more Users, you release NAIRALOAD and Affiliates (and their officers, directors, agents, joint ventures, employees and suppliers) from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes.
